By accessing or using ChaseUp ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.
ChaseUp is a change order and invoice management platform designed for construction subcontractors. The Service provides tools for tracking change orders, managing payment reminders, uploading documents, and monitoring payment status.
When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.
You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party.
Some parts of the Service are billed on a subscription basis. You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set on a monthly or yearly basis.
At the end of each Billing Cycle, your subscription will automatically renew unless you cancel it or we cancel it. You may cancel your subscription renewal through your account settings.
A valid payment method is required to process the payment for your subscription. You shall provide accurate and complete billing information.
ChaseUp may offer a free trial for new subscribers. When the free trial expires, you will be charged unless you cancel before the end of the trial period. We reserve the right to modify or cancel free trials at any time.
Except when required by law, paid subscription fees are non-refundable. We may provide refunds on a case-by-case basis at our sole discretion.
You retain all rights to any content you submit, post, or display on or through the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, process, and display such content solely for the purpose of operating and providing the Service.
You are solely responsible for your User Content. You represent that you have all necessary rights to your User Content and that your use of the Service does not violate any laws or infringe upon the rights of others.

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of ChaseUp and its licensors. The Service is protected by copyright, trademark, and other laws.
We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach the Terms. Upon termination, your right to use the Service will immediately cease.
If you wish to terminate your account, you may simply discontinue using the Service or cancel your subscription through your account settings.
In no event shall ChaseUp, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.
Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied.
These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
